This End User License Agreement (“Agreement”) is a legal agreement between Fort Wayne Construction Solutions LLC, a Indiana company (“Licensor”), and you, the end user (“Licensee”), governing the use of the software system developed by Licensor to integrate financial and communication data from third-party platforms such as QuickBooks and Gmail (“Software”).

Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the Software for internal business purposes related to construction operations, subject to the terms of this Agreement.

Licensee shall not:

• Distribute, sublicense, lease, or sell the Software to any third party.
   
• Reverse-engineer, decompile, or disassemble any part of the Software.
   
• Modify or create derivative works based on the Software without prior written consent.
   
• Use the Software in any manner that violates local, state, federal, or international laws or third-party rights (e.g., QuickBooks or Google Terms of Use).
   

The Software is licensed, not sold. All intellectual property rights in and to the Software are and shall remain the exclusive property of the Licensor or its licensors.

The Software may access or interact with third-party services such as:

• Intuit QuickBooks API
   
• Google Gmail API
   

Licensee acknowledges and agrees that:

• Use of such services is governed by their own terms and privacy policies.
   
• Licensor is not responsible for the availability, functionality, or accuracy of third-party services.
   

All data processed by the Software will be used solely for operational and reporting purposes of the Licensee’s construction business. Licensor agrees to maintain commercially reasonable safeguards to protect Licensee data.

This license remains in effect until terminated. Licensor may terminate this Agreement at any time if Licensee breaches any provision. Upon termination, Licensee shall cease all use of the Software and destroy all copies.

The Software is provided “AS IS” without warranty of any kind, express or implied. Licensor does not guarantee that the Software will be error-free or uninterrupted.

To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, consequential, or special damages arising out of the use of or inability to use the Software.

Licensee agrees to indemnify and hold harmless Licensor from any claims, damages, losses, or expenses arising from Licensee’s misuse of the Software or violation of this Agreement.

This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law principles.

This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior agreements or understandings.

BY INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS END USER LICENSE AGREEMENT.
